Contracts


What is a contract with the landowner or right holder?

ERS only certifies a Project that has secured the necessary rights to operate with an enforceable contract. In the context of an ecosystem restoration Project for the VCM, a contract is the document signed between two or more parties, in which the rights holder(s) (landowner or customary rights holder) grants the Developer the right to operate the Project’s activities in a given area.


When does it apply?

If the Developer is the land owner and holds all land tenure rights, no contract is needed. In these cases the deed proving its ownership must be submitted.

A contract will be needed when you are not the property owner, and it must be signed with the one(s) holding legal tenure to the land. It is recommended to sign the contract as soon as you start designing the Project.


What should it contain?

The contract should contain the following aspects:

  • All of the parties’ identities;
  • The land’s location and registration number if applicable;
  • Contract’s validity period covering all the Project’s duration (at least 40 years);
  • All the activities the Developer is allowed to perform inside the land, and any applicable restriction;
  • All parties’ obligations, rights and guarantees, including:
    • who will cover the costs of restoration and conservation.
    • applicable security measures and who should cover its costs and implementation.
    • the one responsible for obtaining all the necessary licenses to implement, operate and benefit from the Project.
  • The type and amount of compensation for the land usage;
  • Conditions and procedures to terminate the contract;
  • Which conditions are acceptable as “force majeur”;
  • Exclusivity clause, if applicable, and if not, specifying which other concomitant activities can take place.

Carbon rights

In jurisdictions where carbon rights are not intrinsic to land rights, you must have two contracts in place, one with each rights holders.

Stakeholder engagement
